AGREEMENT TO SALE AND PURCHASE

Resolution Properties NW Inc. (“Buyer/Seller”) and the purchasing party (“Buyer”) agree to the sale and purchase of the referenced vacant residential land property (“Property”), including its Parcel ID and Legal Description as specified in the signed contract. The Property is sold on a cash or terms basis as indicated in the signed agreement.

SALES PRICE AND FINANCING

The purchase price is as agreed upon by both parties. This transaction may be structured as a cash sale (not contingent on financing) or as a Contract for Deed with a specified down payment, financed balance, and monthly installment payments. Under a Contract for Deed, monthly payments are to be submitted through GeekPay.io to Resolution Properties NW Inc. The first monthly payment begins approximately 30 days from the date of the down payment.

TERMS OF PAYMENT (CONTRACT FOR DEED)

The financed portion of the purchase price bears interest per annum and is payable over an agreed number of months. Monthly payments consist of principal, a Note Servicing Fee, and estimated taxes. At the final payment due date, any remaining unpaid principal and interest shall be due in full. Unpaid principal after the due date accrues interest at 10% annually until paid. All payments are applied first to accrued interest, then to principal. The Buyer reserves the right to prepay the contract at no additional charge.

LATE PAYMENTS AND DEFAULT

A grace period of 5 days is allowed from the initial payment due date. If payment is not received within the grace period, a $15 late penalty is automatically assessed. If payment is delinquent by 30 days, the Seller will notify the Buyer by certified letter and email, granting an additional 30 days to bring payments current. If full payment is not received within that period, the Property will be considered foreclosed and the Buyer will forfeit all payments made. The Seller reserves the right to reclaim possession of the Property if the Buyer is in default by 60 days, unless a later date is required by law.

NON-SUFFICIENT FUNDS

The Buyer shall be charged the maximum amount allowable under applicable law for any returned payment due to insufficient funds, in addition to any applicable late payment charges.

PRORATIONS AND TAXES

Interest, maintenance fees, assessments, dues, and rents, if any, will be prorated through the closing date. Property taxes for the current year will be collected monthly (1/12th) as part of each monthly payment. Any remaining taxes due in December of the final payment year are the responsibility of the new property owner.

PROPERTY CONDITION

The Property is sold in its “as-is” and present condition. The Seller is under no obligation to make any improvements or repairs. The Buyer accepts the present condition of all utility access to the Property. The Seller represents no known existence of wetlands, shoreland, flood plains, hazardous substances, petroleum products, or underground storage tanks on the Property. It is the Buyer’s duty to fully investigate the condition and suitability of the Property for use.

OCCUPANCY, MAINTENANCE, AND IMPROVEMENTS

Until the contract is fully performed, or a single parcel has been paid off and deeded to the Buyer, no persons including the Buyer shall occupy the Property. The Buyer agrees to comply with all existing laws and ordinances governing the Property. Existing buildings, permanent fixtures, and improvements may not be removed. Additional improvements are not permitted unless agreed upon in writing by the Seller.

CLOSING

The closing of the sale will occur on or before the agreed closing date unless extended pursuant to the terms of the contract. Closing may be extended up to 7 days after objections to title matters have been cured, or by written agreement of both parties.

TITLE AND CONVEYANCE

Upon receipt of all required payments, the Seller shall furnish the Buyer with a Warranty Deed conveying full interest in the Property. The Seller is responsible for the cost of recording the deed. The Seller shall satisfy all outstanding mortgages, deeds of trust, and special liens affecting the Property prior to or at closing, except those specifically assumed by the Buyer. Title shall be good and marketable, subject only to: (a) covenants, conditions, and restrictions of record; (b) public and private utility easements, roads, and rights-of-way; (c) applicable zoning ordinances, protective covenants, and prior mineral reservations; (d) special and other assessments, if any; and (e) general taxes for the current and subsequent years.

A title report will not be provided to the Buyer at closing. The Buyer may elect to conduct their own title search at their own expense. If title defects are discovered, the Seller shall be notified within 5 days of closing and the Buyer may: (a) cancel the contract if defects cannot be cured by the closing date, in which case all monies paid shall be returned; (b) accept the title as-is; or (c) permit the Seller reasonable time to perform curative work at the Seller’s expense.

APPRAISAL, SURVEY, AND TERMITE INSPECTION

Any appraisal of the Property is the sole responsibility of the Buyer. A survey is not required.

INSURANCE

The Buyer is responsible for maintaining insurance on any personal property or other items placed inside or on the Property.

CLOSING COSTS AND EXPENSES

There is no cost to the Seller when closing directly. A one-time document processing fee applies as indicated in the signed agreement.

DEFAULT AND REMEDIES

If the Buyer fails to comply with this contract, the Buyer will be in default and the Seller may enforce specific performance or seek other relief as provided by law. If the Seller fails to comply due to factors beyond their control, the Buyer may extend the performance period up to 15 days or terminate the contract as the sole remedy and receive a refund of monies paid. If the Seller fails to comply for any other reason, the Buyer may enforce specific performance, seek other legal relief, or terminate the contract and receive a refund of all monies paid. If the Seller fails to comply, the Seller shall be given 30 days to cure any defect. In the event the defect cannot be cured, the Seller’s liability shall be limited to $5,000.

ATTORNEY’S FEES (CASH CONTRACT)

The prevailing party in any legal proceeding related to this transaction is entitled to recover from the non-prevailing party all costs of such proceeding and reasonable attorney’s fees.

REPRESENTATIONS

The Seller represents that as of the closing date: (a) there will be no liens, assessments, or security interests against the Property that will not be satisfied from the sales proceeds, unless securing payment of loans assumed by the Buyer; and (b) any assumed loans will not be in default. All representations contained in this contract survive closing.

ASSIGNMENT

Neither party may assign or transfer this contract without prior written consent of the other party, which consent shall not be unreasonably withheld.

INDEMNITY

To the extent permitted by law, the Buyer agrees to indemnify, hold harmless, and defend the Seller from any and all losses, claims, liabilities, and expenses, including reasonable attorney’s fees, arising from the Buyer’s possession, use, or misuse of the Property, except in cases of Seller negligence.

NOTICES

All notices between parties must be in writing and are effective when mailed, hand-delivered, or transmitted by facsimile. Notices to the Seller shall be directed to:

NO BROKER OR AGENTS

The parties represent that neither party has employed the services of a real estate broker or agent in connection with this transaction. If any such agent has been employed, the party employing them shall pay all related expenses outside the closing of this agreement.

EMINENT DOMAIN

If the Property is condemned by eminent domain after the effective date of this contract, the Seller and Buyer shall agree to continue the closing, or a portion thereof, or cancel the contract. If the parties cannot agree, the Buyer is entitled to cancel the contract and have the down payment money returned.

ENTIRE AGREEMENT AND AMENDMENTS

This contract contains the entire agreement of the parties and supersedes all prior agreements, oral statements, warranties, and representations not contained herein. Any modification or amendment must be made in writing and signed by all parties obligated under this contract.

SEVERABILITY

If any provision of this contract is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. Any invalid provision shall be construed and enforced as limited to make it valid and enforceable.

GOVERNING LAW

This contract shall be construed in accordance with the laws of the applicable state as specified in the signed agreement.

OUR GUARANTEE

Resolution Properties NW Inc. dba Land Here USA provides a 60-Day, 100% Satisfaction Guarantee from the date of the down payment. If, for whatever reason, the Buyer is unsatisfied with the Property within this period, Resolution Properties NW Inc. agrees to either exchange the property for another property in inventory or refund all monies paid.

BINDING AGREEMENT

This contract becomes legally binding once signed by the Buyer. Each party acknowledges they have read and understand this agreement. The provisions of this contract shall apply to and bind the heirs, executors, administrators, successors, and assigns of both parties.
